1. Agreement to the Terms
Welcome to the flower market floor of Kunming Weijilan E-commerce Co., Ltd. These Terms of Service form the contract between you and us. When you open an account, place a bid, list a lot or simply use the public pages of the platform, you agree to be bound by these Terms together with our Privacy Policy and any other legal page we point you toward.
Please read these Terms fully before you go further. They are written in plain English so that a grower, a wholesaler and a marketplace seller can each find the rule they need without hunting through fine print. If you do not accept these Terms, please do not register and do not place a bid on the floor.
We keep these Terms on a public page so that you can review them at any time and compare a later version with the one you first saw. A disagreement that starts with a clear Terms page is a disagreement half settled.
2. Who We Are and Who May Join
We are Kunming Weijilan E-commerce Co., Ltd., a company that designs e-commerce platform systems and runs online retail operations for the flower and produce trade. Our offices and place of business stand at:

You may use the platform if you are at least sixteen years old and allowed by the law of your own territory to enter into a binding contract. If you open an account for a company, a farm or a trading room, you promise that you are authorised to bind that business to these Terms, and that the details you give for it are true.
We reserve the right to refuse an account, to decline a listing or to close a registration where a person or a business does not meet the standards of the floor. Joining the market is a privilege earned by honest trade, not a right owed to anyone.
3. Your Account and Its Care
Your account is the key to your presence on the floor. You agree to keep its details true and current, to protect your login from others and to take all reasonable care that your password stays secret.
You alone are answerable for everything that happens under your account while it is in your hands. If you believe another person has gained the use of your account, you must tell us at once so that we can help you lock the door and trace what was done.
One account may hold several roles for you as the market allows: you may always act as a buyer, and where you qualify you may also hold a grower or a seller profile on the same login. We keep a single ledger under one identity so that your settlement is never scattered across half a dozen slips.
We ask you not to register multiple accounts to dodge a bidding rule or to bid against yourself. A floor that rewards one trader twice for the same lot is a floor that cheats us all.
4. Description of the Services
The platform carries a connected set of services that move fresh flowers from the cold room to the buyers case. The core of the floor is the clock drop, a Dutch style auction in which a lot opens at a high price and steps down until a buyer meets it.
Around that clock sit the storefronts where growers present their stems, the settlement rail that moves the money after the hammer, and the dispatch tools that ring the cases out to the dock. For wholesale and retail buyers, the same platform offers an online shop where lots can be bought at a fixed price outside the live clock, and where past orders sit for reorder.
For marketplace sellers, the platform links to outside marketplaces through careful integrations, so that one listing lives in several shops. We describe those services fully on our Services page, and the descriptions there form part of what we promise to deliver.
We may add, change or retire a feature as the market matures, and we will tell you about a change that matters before it removes something you rely on.
5. Lots, Listings and Grades
A lot is the smallest unit of trade on the floor. Each lot carries a number, a description of the stems, a grade band, a stem count, a reserve or starting price and the cold chain record that lets a buyer judge the flower fairly.
Growers and sellers are responsible for the truth of their listings. The description you give, the grade you claim and the count you state must be accurate, because a buyer on the floor is trading on the sheet in front of them. Where a grading standard is published by the market or by an authority of the trade, you agree to follow it.
We may check a listing before it goes live and we may reject, correct or withdraw a lot that is misleading, poorly described or that breaks a market rule. We do this to protect the whole floor, and we will tell you the reason for any refusal.
Photographs of a lot must show the very flowers offered, not a doctored image from a brighter year. Honesty in the sheet is the oldest rule of the auction, and it applies to every stem on every tier.
6. Bidding Rules of the Floor
When the clock for a lot begins, the price steps downward from its opening figure. To win the lot you press to stop the clock at a price you accept; the first valid stop wins the lot at that price.
A bid is a firm promise, not a wish. When you stop the clock you have agreed to buy the lot at the displayed price, and you may not walk away because a better flower appeared or because your own number was higher than you meant. Withdrawing from the floor after a winning stop is a serious breach that harms the grower whose stem you have held back.
We may set an opening bid, a reserve and a bid increment for a lot, and we may pace the clock as the market dictates so that a busy evening of many lots is still handled with care.
Shill bidding, collusive rings and the use of another persons account to lift a price are forbidden, and a floor caught in any of them will face suspension and the loss of their trading rights.
7. Settlement and Payment
The hammer is only the beginning. When a lot is won, the settlement rail takes over: the buyer pays, the grower is credited and the ledger balances so that the same-morning promise holds for everyone.
A buyer must settle a winning lot promptly by the payment method agreed at check out. We hold the right to release a lot for dispatch only after the payment is confirmed, and we may charge a fair fee if a buyer repeatedly delays settlement through no fault of the grower.
A grower is paid according to the settlement schedule published for the market, once the lot is dispatched and the payment has cleared. Your money is your own once the lot is yours, and we never hold a grower ransom against a future dispute that does not concern their stem.
Every settlement is reconciled to its exact lot number and a receipt is sent. If a figure on your receipt looks wrong, tell the desk and we will trace the lot rather than argue about the number.
8. Orders, Delivery and Returns
Outside the live clock, the same platform supports fixed price shopping and reorders of past lots. An order is placed, paid and then packed from the cold room for dispatch in the sequence of the trade.
We aim to dispatch every order on the schedule shown at purchase, because a fresh flower has no patience with a slow van. Delivery times are estimates based on the route and the season, and a short delay caused by weather or a broken road is not a breach of the Terms; we will simply tell you as soon as we know.
If a case arrives damaged, wilted beyond the grade or not as it was described, you may report it to the desk within the window we print on the dispatch note, and we will make good the loss with a replacement or a credit of equal value. A flower is a perishable good, so returns work by making it right and not by sending the case back.
Title to the stems passes to you when they leave the dock, and the risk of the journey then sits with the courier on your behalf, always to be resolved with your receipt in hand.
9. Fees and Payments to the Company
For the use of the platform, we charge fees that are published clearly before you commit. A buyer sale carries a small platform fee, a grower listing may carry a rate, and a marketplace seller pays for the integrations that carry their shop. Each fee is shown on the sheet before you accept it, never slipped in at the last step.
Where fees are stated they are stated in the currency of the room, and any tax that applies is added as the law requires. A fee you owe is due on the date shown and we may hold a small offset from a settlement until an overdue fee is settled, always proportional and always explained.
We will not raise a fee that is already agreed for a lot already listed, and a change to a fee schedule for the future is announced ahead of time so that you can plan a season around the actual cost of the floor.
10. Acceptable Use of the Platform
The floor is a shared room, and the whole room depends on every trader playing fair. You agree to use the platform only for lawful trade and to keep these rules of the hall.
- You will not use the platform to break a law, to defraud a grower or a buyer, or to launder the proceeds of any crime.
- You will not attempt to break into, overload or damage the systems, and you will not probe the network to find a weakness in the door.
- You will not place bids you cannot pay for or list lots you cannot deliver.
- You will not scrape the catalogue wholesale, hoard the price history to resell it, or copy the floor for a rival room.
- You will not post threatening, false or harassing content in any review, message or public note on the platform.
We invite you to report a trader who breaks a rule, and we protect the person who speaks up against a retaliatory bid. The strength of the market is that its own people guard it.
11. Intellectual Property and Content
The platform itself, our designs, our software, the WeiJiLanEcom brand, and the written and visual material we publish are owned by us or by our licensors and are protected by the law of trade marks and copyright. You may use them to trade on our floor, and you may not take them to build a rival shop.
The content you bring to the floor, your listings, your photographs, your reviews and your descriptions, remain yours. By posting them you grant us the narrow right to show them on the platform, to use them to run the trade and to keep copies needed to settle a dispute, and no wider right than that.
You promise that what you post is your own and does not step on the rights of another person. Should we be asked to remove a photograph or a description that breaches a copyright, we will act fairly and tell both sides what we decided.
12. Marketplace Seller Terms
If you are a marketplace seller we link your listings to outside shops and carry the orders that arrive from them. The rules of this section add to the general Terms for your shop.
You lodge your listings with us once, and our integrations mirror the correct stock, price and detail into each marketplace you select. You are answerable for the truth of the listing in every shop, exactly as on the home floor.
An order that arrives from a marketplace is bound into your ledger at once, and you are paid on the same settlement schedule as any other lot. You may withdraw a shop at any time, and when you do the mirror closes and no further orders from that shop are accepted.
You agree that a dispute between you and a marketplace buyer sits between you and that buyer under the rules of the shop where the sale was made, and that we will do our honest best to hand over the records that settle it fairly.
13. Grower and Wholesaler Terms
If you grow or wholesale on the floor, your stems are the life of the market and the Terms treat them with the care they deserve. This section sets the promises that grow side of the room relies on.
You present your lots truthfully and grade them to the published standard, and in return we commit to list them honestly, to clock them fairly and to pay your settlement on schedule once a lot is dispatched and settled.
You keep the right to set a reserve so that a stem you cannot afford to lose never walks for a song, and we respect that reserve without pressure. A grower who stays quiet when the market changes and prices fall will be treated as fairly by the settlement rail as a grower holding a bumper crop at the top of the season.
We ask that the cold chain record you give is an honest one, because the cold chain is where value lives or dies. A falsified cold record that leads a buyer to a spoiled case is a breach of these Terms and will be handled as one.
14. Disclaimers and Limits of Liability
We build the platform with great care, and we stand behind the way it works when it is used as these Terms describe. We can do no more than that, and this section says so plainly.
The platform is provided as it is. We do not promise that the clock will never pause, that the network will never dip or that a lot sheet will be free of a misprint. Where a fault of ours costs you a real loss, we will make it good, as the next section sets out.
To the extent the law allows, our total liability to you for any claim arising out of these Terms or your use of the platform is limited to the fees you paid us in the twelve months before the event that caused the claim. We are not liable for a loss of profit, a loss of a crop, an interrupted season or any indirect harm that flows from a fault, except where the law will not allow us to exclude it.
Nothing in these Terms removes a right that the law grants you and will not let a contract set aside. Where a rule of your own territory gives you stronger protection, that stronger protection wins over this section.
15. Suspension and Termination
You may close your account at any time by writing to the desk, and we will settle what is owed and remove or keep your records as our Privacy Policy explains.
We may suspend or end your account where you break these Terms, where you fail to settle a winning lot, where you abuse the floor or where the law compels us to act. Before we end a trading account for a breach we will tell you what we believe you did and give you a fair chance to answer, except where the breach is so serious that the safety of the market demands immediate action.
On closure we settle every outstanding lot and every open obligation fairly on the calendar of the floor, and we hand back the data about your own trade that belongs to you. Termination never cancels a debt already owed or a lot already won.
16. Warranty Disclaimer
The goods sold on this floor are the flowers themselves, and no market can guarantee the weather that grew them. To the extent the law allows, the platform and the services are provided to you as they are and as they become available, without a warranty of any kind, whether express or implied.
We make no warranty that the platform will be free of interruption, error or fault, though we work hard to keep it that way. We make no warranty about the future price of a flower, the length of a season or the profit of a trade, because those things lie outside the building of the system and inside the hands of the market itself.
Where the stem itself is the subject of the trade, the growers own description and the published grade carry the promise of what the buyer will receive, and our role is to keep that promise legible and honest on the sheet rather than to stand behind a crop we never grew.
This disclaimer is not meant to remove a protection the law insists we keep, and where the law will not permit a disclaimer of some duty, that duty and its remedies remain yours.
17. Governing Law and Disputes
The platform is run from the People Republic of China, and these Terms are governed by the laws of that territory, without regard to its conflict of law rules, to the extent the law allows that choice for your own place of residence.
Where you live in a territory whose law grants you rights these Terms cannot take away, including the right to bring a claim in your own courts, those rights are not reduced by this section. If a court or authority of residence rules that a part of this clause cannot stand against you, the rest of the Terms continue in full force.
Before any formal step in a dispute we ask you to write to us first, because most disagreements on a trading floor are a misunderstanding of a single lot and can be settled by a person with the ledger in front of them. If we cannot settle it by good faith, the dispute will be resolved under the law named above in the courts that have proper authority.
18. Changes to These Terms
The market grows and these Terms must sometimes grow with it. When we change them we update the date below and publish the new version on this page.
Where a change worsens your position or widens a burden on you, we give you notice before it takes effect and a fair chance to object or to close your account. Where a change simply reflects a new rule of law or sharpens our own duty, it may take effect at once for your benefit.
Continued use of the platform after a revised Terms page is published means you accept the new version, and the version you agreed to when you joined remains open at the desk on request for comparison.
19. Contact and Notices
Any notice you must give us under these Terms, and any question or complaint about the floor, goes to our desk by one of the routes below. A notice is not given to us until it reaches our desk.
